Legal Drafting

Legal Catalan must do more than sound formal: it must assign rights and duties to identifiable actors under identifiable conditions. A sentence can be grammatical and still fail legally if a modifier has two possible scopes, a pronoun has two antecedents, or pot leaves readers unsure whether an act is permitted or merely possible.

This page concerns linguistic drafting, not legal advice. The validity of a provision depends on the competent legal system and on institutional templates. The principles here apply across standard Catalan, while a body governed by IEC or AVL conventions should follow its applicable terminology and house style consistently.

For notices and procedures outside binding provisions, compare administrative Catalan, where reader guidance may outweigh the need for article-by-article cross-reference.

Define only what receives a special meaning

A definition fixes how a term will be used in one instrument. It should not smuggle in an obligation, exception, or substantive rule that readers will fail to find later.

Als efectes d'aquest reglament, s'entén per «persona usuària» qualsevol persona que disposi d'una acreditació vigent.

For the purposes of these regulations, ‘user’ means any person holding a valid credential.

The opening formula (formal/legal) limits the definition to the instrument. Quotation marks distinguish the defined label from ordinary prose. After defining it, use the same term: alternating persona usuària, usuari, persona interessada, and beneficiari invites doubt about whether the referents differ.

La persona usuària ha de mostrar l'acreditació quan el personal autoritzat la hi demani.

The user must show the credential when authorized staff ask them for it.

Here la retrieves l'acreditació and hi the user as recipient in the combination la hi. If that clitic sequence is likely to slow the intended audience, repeating a noun is safer: quan el personal autoritzat demani l'acreditació.

A definition is a reference tool. Give it one label, one grammatical category, and one stable scope. Do not vary terminology merely to avoid repetition.

Obligation, permission, and prohibition

The ordinary precise expression of obligation is haver de + infinitive. Use the present in enduring rules unless the timing itself requires a future form.

L'entitat adjudicatària ha de conservar els justificants durant cinc anys.

The successful contractor must keep the supporting documents for five years. (obligation)

La persona sol·licitant pot esmenar la documentació dins el termini indicat.

The applicant may correct the documentation within the stated period. (permission)

No es pot accedir a l'arxiu sense autorització.

The archive may not be accessed without authorization. (general prohibition)

Pot must not alternate carelessly between permission and factual possibility. If La comissió pot reunir-se divendres means “is permitted to meet,” context must distinguish it from “is able to meet.” A phrase such as està facultada per reunir-se (formal/legal) may clarify conferred authority; a scheduling sentence can use té previst reunir-se.

Avoid using deure + infinitive for a duty in modern general prose. Deu ser a l'oficina normally expresses probability: “They must be at the office.” Use ha de ser a l'oficina for an obligation. The future haurà de presentar is common in administrative documents, but the present ha de presentar states the rule more directly and avoids treating the norm as a prediction.

Name the actor

Impersonal and passive constructions are established in legal writing, especially when the institution or procedure matters more than an individual actor. Too many of them, however, can conceal who must act.

La secretaria del tribunal ha de notificar la resolució a les parts.

The secretary of the panel must notify the parties of the decision. (Actor and duty are explicit.)

La resolució s'ha de notificar a les parts en un termini de deu dies.

The decision must be notified to the parties within ten days. (The procedural result is foregrounded; the actor is not specified.)

Both sentences are well formed, but they do different legal work. Use the second only if the responsible actor is fixed elsewhere or genuinely irrelevant. English-style passives with repeated per part de are rarely clearer than naming the body once.

Conditions and exceptions need visible scope

Place a condition next to the rule it controls. Use si for a condition, llevat que or tret que for an exception, and excepte for excluded items or cases. The choice determines the logical relation.

La llicència caduca si l'activitat no comença dins els sis mesos següents a la notificació.

The licence expires if the activity does not begin within the six months following notification.

La sessió és pública, llevat que una norma amb rang de llei disposi el contrari.

The sitting is public unless a provision having the force of law states otherwise.

Do not bury the exception after several coordinated duties, where readers cannot tell whether it modifies the final duty or the entire paragraph. A separate numbered provision may be necessary.

The formula sens perjudici de (formal/legal) means that one rule does not displace another right, duty, or competence. It is not an ornate synonym for però.

La inspecció es pot iniciar d'ofici, sens perjudici del dret de les persones interessades a presentar una denúncia.

The inspection may be initiated ex officio, without prejudice to interested persons' right to file a complaint.

Control anaphora: repeat more, guess less

Legal prose often overuses aquest, l'esmentat, el dit, or el mateix in an attempt to avoid repetition. Demonstratives can be clear when only one candidate exists, but a bare aquest after two masculine nouns forces interpretation. Pronominal use of el mateix / la mateixa as a generic equivalent of Spanish el mismo / la misma is especially stiff and often avoidable.

El departament tramet l'informe al consell. El consell l'ha d'aprovar en la sessió següent.

The department sends the report to the council. The council must approve it at its next meeting.

The repeated el consell is a feature, not a stylistic failure. L'ha d'aprovar has only one plausible direct-object antecedent, l'informe. If two reports have been mentioned, repeat the specific title.

L'òrgan instructor incorpora l'informe tècnic a l'expedient i envia l'expedient a la comissió.

The investigating body adds the technical report to the file and sends the file to the committee.

Repeating l'expedient is clearer than envia aquest a la comissió, where aquest can momentarily point to l'informe tècnic.

Numbering and parallel syntax

Lists carry legal logic. Every item at the same level should complete the same lead-in and use the same grammatical form. Do not coordinate a noun, a finite clause, and an imperative as if they were equivalent conditions.

Per obtenir l'autorització, la persona sol·licitant ha de: a) acreditar la identitat; b) indicar un domicili de notificació; c) adjuntar el justificant de pagament.

To obtain authorization, the applicant must: (a) prove their identity; (b) provide an address for service; (c) attach proof of payment.

All three items are infinitive phrases governed by ha de. The semicolons make their boundaries visible. If an item contains multiple sentences or its own exceptions, promote it to a numbered paragraph rather than nesting an unreadable chain.

Read each list item after the lead-in. If one produces a broken or differently modal sentence, restore parallelism before checking punctuation.

Remove attachment and coordination ambiguity

A modifier should sit beside what it modifies. Compare the ambiguous Es prohibeix l'accés als menors amb animals: are the animals with the minors, or are both minors and animals prohibited?

Els menors no poden accedir al recinte si van acompanyats d'animals.

Minors may not enter the premises if they are accompanied by animals. (One intended reading.)

No poden accedir al recinte ni els menors ni els animals.

Neither minors nor animals may enter the premises. (The other intended reading.)

Coordination also affects negation. No pot vendre ni llogar el local prohibits both acts. Pot no vendre o llogar el local is not a safe substitute: the scope of no and o is different and difficult to recover.

Relative clauses deserve the same scrutiny. Les empreses que tinguin deutes no rebran l'ajut restricts the denial to indebted companies. Commas—Les empreses, que tinguin deutes...—would wrongly suggest a parenthetical claim about all companies and may even produce an incoherent mood choice.

Terminology, dates, and reference points

Choose the legally relevant word, not its most solemn neighbor. Termini is a period allowed for an act; data límit is a reader-friendly deadline label; terme has other established legal and general meanings and should not be substituted automatically. Likewise, complir els requisits is normally clearer than donar compliment als requisits.

Time expressions need a fixed starting point:

El recurs es pot presentar en el termini d'un mes comptat des de l'endemà de la notificació.

An appeal may be lodged within one month counted from the day after notification.

The provision identifies the duration and the day from which it is counted. Whether that formula is legally appropriate in a particular proceeding is a substantive question; linguistically, the reference point is explicit.

Address systems and channel

Normative provisions generally use third person and role labels. A covering letter or form may address the reader as vós or vostè. Keep the paradigm stable.

Presenteu la documentació a través de la seu electrònica i conserveu-ne el rebut.

Submit the documents through the electronic portal and retain the receipt. (formal institutional vós)

Presenti la documentació a través de la seu electrònica i conservi'n el rebut.

Submit the documents through the electronic portal and retain the receipt. (formal vostè)

These are alternative systems, not interchangeable verb forms. Institutional Catalan often favors vós because plural morphology avoids gender marking and works for one or several addressees; local house style decides.

Formal and plain-language versions

Conventional legal formulation:

L'incompliment del requeriment dins el termini establert comporta el desistiment de la sol·licitud, en els termes que preveu la normativa aplicable.

Failure to comply with the request within the established period entails withdrawal of the application, under the terms provided by the applicable regulations.

Spoken, plain-language explanation to the affected person:

Si no presenteu els documents dins el termini, entendrem que desistiu de la sol·licitud. La resolució indicarà la norma aplicable.

If you do not submit the documents in time, we will understand that you withdraw your application. The decision will state the applicable rule.

The first fits a legal provision where the consequence and its statutory frame are central. The second gives a listener the condition and consequence directly. Plain language must not change the legal effect; it changes the route by which people understand it.

Before and after: expose the rule's logic

Before — inflated and ambiguous:

Per part de les persones sol·licitants s'haurà de procedir a l'aportació dels documents, podent-se denegar la mateixa en cas de no presentació.

On the part of applicants, provision of the documents must be proceeded with, the same being possibly refused in the event of non-submission.

After — actor, duty, condition, consequence:

Les persones sol·licitants han de presentar els documents requerits. Si no els presenten dins el termini, l'òrgan competent pot denegar la sol·licitud.

Applicants must submit the required documents. If they do not submit them within the period, the competent body may refuse the application.

The revision names both actors, replaces a noun chain with presentar, makes the condition a sentence, and gives la sol·licitud instead of ambiguous la mateixa. It also preserves pot: refusal is discretionary, not automatic. If the governing rule makes it automatic, the drafter must use a different modal statement.

An annotated provision

1. L'entitat beneficiària ha de presentar la memòria abans del 31 de març. 2. El termini es pot ampliar deu dies si l'entitat acredita una causa de força major. 3. L'ampliació no eximeix l'entitat de conservar els justificants durant cinc anys.

1. The beneficiary entity must submit the report before 31 March. 2. The period may be extended by ten days if the entity proves force majeure. 3. The extension does not release the entity from keeping supporting documents for five years.

  • Point 1 identifies actor, obligation, object, and deadline.
  • Point 2 separates permission from condition; si has scope over the extension only.
  • Point 3 repeats l'entitat and l'ampliació, preventing a demonstrative from acquiring two antecedents.
  • Each point carries one operative proposition, so later cross-reference can identify it exactly.

Common Mistakes

⚠️ La persona interessada deu presentar el formulari demà.

Grammatical as an inference—the person will probably submit the form tomorrow—but unsuitable if the intended force is legal obligation.

✅ La persona interessada ha de presentar el formulari demà.

The interested person must submit the form tomorrow. (obligation)

❌ L'ajuntament tramet l'acord al consell i aquest el comunica al mateix.

The bare aquest leaves two institutional antecedents in play, while anaphoric al mateix is Spanish-influenced and does not identify the final recipient.

✅ L'ajuntament tramet l'acord al consell, que el comunica a l'empresa adjudicatària.

The municipal government sends the decision to the council, which communicates it to the successful contractor. (Referents explicit.)

❌ Els requisits són: a) identificació; b) que pagui la taxa; c) presenteu el projecte.

The list mixes a noun, a finite clause, and an imperative.

✅ Cal: a) acreditar la identitat; b) pagar la taxa; c) presentar el projecte.

It is necessary to: (a) prove identity; (b) pay the fee; (c) submit the project. (Parallel infinitives.)

❌ Sens perjudici de, la comissió no hi està d'acord.

Sens perjudici de cannot stand alone as an ornate equivalent of however.

✅ La comissió no hi està d'acord; tanmateix, manté vigent l'acord anterior.

The committee disagrees; nevertheless, it keeps the previous decision in force.

Practice

Draft a three-point rule containing one obligation, one permitted exception, and one prohibition. Underline every actor, modal verb, antecedent, condition, and time reference. Then produce a covering notice in consistent vós or vostè address. Ask another reader to paraphrase the rule: if their interpretation differs, revise the syntax rather than merely adding a synonym.
