Legal and treaty Arabic is not simply very formal prose. It is a controlled drafting register (formal/legal) in which a definition fixes reference, a modal expression creates or withholds authority, an exception narrows a rule, and coordination determines whether duties accumulate or offer alternatives. A graceful sentence can still be legally defective if two readings assign different rights or obligations.
The central drafting question is therefore not “Does this sound elevated?” but “Can every operator be given a single scope?” Legal texts often use long sentences, nominalization, and passive voice because rules must apply generally. They also split sentences, number conditions, and name actors when those tools reduce interpretive risk.
The grammatical behavior of negative operators is developed in Negation Scope with Quantifiers and Coordination; legal drafting turns that grammatical contrast into a consequence-bearing editorial decision.

Define once, repeat exactly
A definition conventionally uses يقصد بـ... or لأغراض هذا...، تعني.... It should state the term, its domain, and any inclusion or exclusion that changes ordinary meaning.
لأغراض هذه الاتفاقية، يقصد بعبارة المعلومات السرية كل بيان غير متاح للجمهور يسلمه أحد الطرفين إلى الطرف الآخر.
li-ʾaghrāḍi hādhihi l-ittifāqiyya(h), yuqṣadu bi-ʿibārati l-maʿlūmāti s-sirriyyati kullu bayānin ghayri mutāḥin lil-jumhūri yusallimuhu ʾaḥadu ṭ-ṭarafayni ʾilā ṭ-ṭarafi l-ʾākhar.
For the purposes of this agreement, ‘confidential information’ means any non-public data delivered by either party to the other.
After this definition, repeat المعلومات السرية. Alternating it with البيانات الخاصة or المواد المحمية for stylistic variety may create three legal categories. In literary prose repetition can feel heavy; in legal prose it protects identity of reference.
Obligation is not prediction
English legal shall can impose a duty, but Arabic future سـ ordinarily predicts or schedules. Use an explicit duty expression: يلتزم, يجب على, يتعين على, or a prohibitive لا يجوز. Select the actor as the grammatical subject or as the complement of the modal.
يلتزم المورد بتسليم النسخة النهائية خلال عشرة أيام من تاريخ التوقيع.
yaltazimu l-muwarridu bi-taslīmi n-nuskhati n-nihāʾiyyati khilāla ʿasharati ʾayyāmin min tārīkhi t-tawqīʿ.
The supplier shall deliver the final version within ten days of the date of signature. (contractual obligation)
لا يجوز لأي طرف إفشاء المعلومات السرية من دون موافقة كتابية مسبقة.
lā yajūzu li-ʾayyi ṭarafin ʾifshāʾu l-maʿlūmāti s-sirriyyati min dūni muwāfaqatin kitābiyyatin musbaqa(h).
Neither party may disclose confidential information without prior written consent. (prohibition)
يلتزم presents an undertaking by the duty-bearer. يجب على states an impersonal requirement. لا يجوز denies legal permission. These may lead to similar conduct, but they encode different normative stances and should not be varied casually.
The same proposition in ordinary and operative form
سيرسل المورد التقرير قبل نهاية الشهر.
sa-yursilu l-muwarridu t-taqrīra qabla nihāyati sh-shahr.
The supplier will send the report before the end of the month. (future statement; could be a forecast or plan)
يجب على المورد أن يسلم التقرير في موعد لا يتجاوز اليوم الأخير من الشهر.
yajibu ʿalā l-muwarridi ʾan yusallima t-taqrīra fī mawʿidin lā yatajāwazu l-yawma l-ʾakhīra mina sh-shahr.
The supplier must deliver the report no later than the last day of the month. (operative obligation and outer deadline)
The proposition concerns the same delivery, but the legal version changes its force and makes the deadline inclusive. This is not merely a more formal synonym for the future.
Exceptions need visible scope
An exception should sit next to the rule it narrows. Common tools include باستثناء, إلا, ما لم, شريطة أن, and مع عدم الإخلال بـ. They are not interchangeable.
- باستثناء X removes X from a set.
- ما لم P makes the rule hold unless proposition P becomes true.
- شريطة أن P states a positive condition.
- مع عدم الإخلال بـ X preserves another rule or right; it does not itself create an exception from everything in the document.
يحظر نقل البيانات إلى خارج الدولة، ما لم توافق الهيئة على النقل كتابة.
yuḥẓaru naqlu l-bayānāti ʾilā khāriji d-dawla(h), mā lam tuwāfiqi l-hayʾatu ʿalā n-naqli kitāba(h).
Data transfer outside the state is prohibited unless the authority approves the transfer in writing.
مع عدم الإخلال بحق المتضرر في التعويض، يجوز للهيئة تعليق الترخيص مؤقتا.
maʿa ʿadami l-ikhlāli bi-ḥaqqi l-mutaḍarriri fī t-taʿwīḍ, yajūzu lil-hayʾati taʿlīqu t-tarkhīṣi muʾaqqatan.
Without prejudice to the injured party's right to compensation, the authority may suspend the license temporarily.
The opening phrase preserves the compensation right while authorizing suspension. It does not mean “despite compensation,” and it should not become a decorative legal connector.
Coordination can change the rule
In legal drafting, و usually accumulates requirements, while أو normally offers alternatives or extends a prohibition to either act. But natural language coordination can still leave attachment uncertain. Repeat the modal or split the subparagraph when consequences differ.
يقدم المرخص له السجل المالي والتقرير الفني وشهادة التأمين.
yuqaddimu l-murakhkhaṣu lahu s-sijilla l-māliyya wa-t-taqrīra l-fanniyya wa-shahādata t-taʾmīn.
The licensee shall submit the financial record, the technical report, and the insurance certificate. (cumulative list)
لا يجوز للمشغل بيع بيانات المستخدمين أو نقلها أو إتاحتها لأي طرف ثالث.

The operator may not sell, transfer, or make users’ data available to any third party. (the prohibition scopes over each alternative act)
The negative modal precedes the entire coordinated series. If one act is permitted under a condition and another absolutely prohibited, write two clauses.
يجوز للجهة نسخ السجلات لأغراض الحفظ. ولا يجوز لها نشر أي سجل من دون موافقة صاحبه.
yajūzu lil-jihati naskhu s-sijillāti li-ʾaghrāḍi l-ḥifẓ. wa-lā yajūzu lahā nashru ʾayyi sijillin min dūni muwāfaqati ṣāḥibih.
The entity may copy records for preservation. It may not publish any record without its owner's consent. (different permissions separated)
Pronouns, references, and sentence length
A pronoun saves space only when it has one possible antecedent. In a provision containing الهيئة، اللجنة، الشركة, feminine ها may refer to any of them. Repeat the defined term. Likewise, المذكور أعلاه is useful only when “above” identifies one provision; an article number is safer.
Long legal sentences often contain six functions: definition, duty, condition, exception, consequence, and preserved right. Splitting by function reduces density without weakening formality. Use numbered clauses and explicit cross-references rather than a chain of semicolons whose scopes must be inferred.
A short treaty-style model
تتبادل الدولتان المعلومات اللازمة لتنفيذ هذه الاتفاقية عبر القنوات الدبلوماسية. وتلتزم كل دولة بحماية المعلومات التي تتلقاها وفقا لقانونها الوطني. ولا يجوز نقل تلك المعلومات إلى دولة ثالثة إلا بموافقة كتابية مسبقة من الدولة التي قدمتها. ولا يمنع هذا الحكم الإفصاح الذي يوجبه حكم قضائي نهائي، شريطة إخطار الدولة الأخرى قبل الإفصاح متى كان ذلك جائزا قانونا.

The two states shall exchange the information necessary to implement this agreement through diplomatic channels. Each state shall protect the information it receives in accordance with its national law. That information may not be transferred to a third state without the prior written consent of the state that provided it. This provision does not prevent disclosure required by a final judicial decision, provided that the other state is notified before disclosure whenever such notification is legally permissible. Each sentence performs one legal function: exchange, protection, prohibition with consent exception, then a judicial-disclosure qualification. Agency remains explicit, defined reference stays stable, and the final condition scopes only over notification—not over the underlying judicial duty.
Editing for one reading
تقوم الجهة باتخاذ الإجراءات اللازمة لمنع استخدام ونقل البيانات غير المصرح به إلا بموافقة الهيئة.

The entity shall take measures to prevent any unauthorized use of data. It shall also prevent data transfer unless the authority approves the transfer in writing. (scope separated)
The revision repeats النقل, places the exception beside it, and specifies written approval. It also replaces تقوم باتخاذ with direct تتخذ. Legal precision often becomes shorter when light-verb padding disappears.
Common Mistakes
Importing unlabeled dialect into an operative clause
لازم الشركة تبعت الإشعار خلال أسبوع.
lāzimi sh-sharika(h) tibʿati l-ʾishʿār khilāl ʾusbūʿ.
The company has to send the notice within a week. (informal, regional: Levantine; not suitable as an unlabeled contract clause)
يلتزم الطرف الأول بإرسال الإشعار خلال سبعة أيام.
yaltazimu ṭ-ṭarafu l-ʾawwalu bi-ʾirsāli l-ʾishʿāri khilāla sabʿati ʾayyām.
The first party shall send the notice within seven days. (formal/legal; duty-bearer and period explicit)
Using archaism instead of a defined current term
على الفريق الثاني أن يوافي الفريق الأول بما استجد من نبأ.
ʿalā l-farīqi th-thānī ʾan yuwāfiya l-farīqa l-ʾawwala bi-mā istajadda min nabaʾ.
The second party must furnish the first with whatever news arises. (grammatical but vague and needlessly elevated)
