Vietnamese administrative and legal prose is not ordinary speech with a few respectful words added. It is a bundle: the writer identifies the issuing authority, names participants consistently, packages actions as procedures or obligations, links conditions explicitly, and often removes the personal viewpoint of an individual speaker. The result is dense but should still be unambiguous.
This page covers notices, regulations, contracts, forms, and official correspondence (formal/administrative or legal). News reports may quote these texts, but news selection and attribution belong on News and Journalistic Style.
Choose the genre before choosing the sentence
| Communicative job | Typical Vietnamese frame | What it foregrounds |
|---|---|---|
| state a legal basis | Căn cứ...; Theo quy định... | authority or controlling rule |
| impose an obligation | X phải / có trách nhiệm... | responsible participant and required act |
| grant permission or entitlement | X được / có quyền... | scope of permission or right |
| set a condition | Trong trường hợp...; Nếu... thì... | circumstance triggering a consequence |
| announce a procedure | Hồ sơ gồm...; Thời hạn giải quyết là... | documents, steps, or deadline |
| make a public request | Đề nghị / Kính đề nghị... | institutional request, not personal favor |
Căn cứ Luật Bảo vệ môi trường, cơ quan có thẩm quyền tiến hành kiểm tra theo quy định.
Pursuant to the Law on Environmental Protection, the competent authority conducts the inspection in accordance with the regulations. (formal/legal)
Căn cứ presents the legal basis, while cơ quan có thẩm quyền identifies the authorized actor. English legal prose may pile up pursuant to, hereunder, and whereas; Vietnamese uses its own conventional frames and does not become more authoritative through word-for-word archaism.
Obligations, permissions, and institutional agency
Administrative prose usually names a role, party, office, or organization instead of an interpersonal pronoun. Người sử dụng lao động, bên thuê, cơ quan tiếp nhận hồ sơ, and người đề nghị remain stable reference labels throughout a document.
Bên thuê có trách nhiệm thanh toán đầy đủ trong vòng mười ngày kể từ ngày nhận hóa đơn.
The lessee is responsible for making full payment within ten days from receipt of the invoice. (formal/contractual)
Người nộp hồ sơ được quyền yêu cầu cơ quan tiếp nhận giải thích bằng văn bản.
The applicant is entitled to request a written explanation from the receiving authority. (formal/administrative)
Phải marks a direct requirement. Có trách nhiệm assigns responsibility and often fits institutional descriptions. Có quyền identifies an entitlement. Được can mark authorization or a favorable affected result, so a legal drafter often adds có quyền or specifies the authority to prevent ambiguity.
Agents may be backgrounded when the procedure, not the individual, matters:
Hồ sơ được tiếp nhận tại Bộ phận Một cửa và được giải quyết trong năm ngày làm việc.
Applications are received at the One-Stop Service Unit and processed within five working days. (formal/administrative)
Here được helps organize two procedural stages; it is not a universal equivalent of English passive be. If responsibility is disputed, name the actor: Bộ phận Một cửa tiếp nhận hồ sơ.
Nominal density without English noun stacks
Formal Vietnamese uses many Sino-Vietnamese terms—thực hiện “implement,” xử lý “process/handle,” vi phạm “violation,” chấm dứt “terminate”—and can package an action with việc, sự, quá trình, or a genre-specific head noun. That does not license unlimited strings of nouns.
Việc chậm thanh toán làm phát sinh nghĩa vụ trả lãi theo thỏa thuận.
Late payment gives rise to an obligation to pay interest under the agreement. (formal/contractual)
The head việc turns chậm thanh toán into the condition under discussion; làm phát sinh connects it to the consequence. A literal rendering of late payment interest obligation calculation method would be hard to parse. Vietnamese normally restores relations with clauses, của, đối với, theo, or a clearly headed phrase.
Conditions, connectors, and parallel structure
Legal consequences must attach to their conditions. Trong trường hợp frames a defined circumstance; nếu... thì... states a transparent condition; trừ khi introduces an exception; nhằm states an institutional purpose; do đó states a conclusion. Use them because the logical relation is needed, not because formal prose “needs long words.”
Trong trường hợp một bên vi phạm nghĩa vụ, bên còn lại có quyền yêu cầu khắc phục trong thời hạn hợp lý.
If one party breaches an obligation, the other party has the right to require a remedy within a reasonable period. (formal/contractual)
Tổ chức, cá nhân có trách nhiệm cung cấp thông tin trung thực, đầy đủ và đúng thời hạn.
Organizations and individuals are responsible for providing information truthfully, completely, and on time. (formal/administrative)
The final sentence coordinates three parallel complements of cung cấp. Parallelism is not decoration: readers can check three equal requirements. Mixing a noun, a verb clause, and an adverb in one list obscures scope.
Official prose also uses ellipsis carefully. Once bên A and bên B are defined, a coordinated series may omit a repeated subject, but the omitted participant must remain recoverable. A contract should not imitate conversational subject omission when two possible parties are present.
Address and spoken delivery
A customer notice may use quý khách, quý cơ quan, or ông/bà (formal/polite). A regulation generally names the regulated class. A contract defines bên bán and bên mua. In an official meeting, a speaker may unpack the written text and use respectful address, but should not read every nominalized clause as if it were natural conversation.
Kính đề nghị quý cơ quan phản hồi bằng văn bản trước ngày 15 tháng 6.
We respectfully request that your agency reply in writing before June 15. (formal official correspondence)
The pairing kính đề nghị + quý cơ quan belongs to institutional correspondence. In an everyday exchange, Anh gửi lại giúp tôi trước thứ Sáu nhé is more natural; importing kính đề nghị into casual talk can sound ceremonious or ironic.
One event in five registers
All five lines report that a storm caused a meeting to be postponed. Notice that the change is not one “formal synonym”; the whole package changes.
| Register | Comparable wording |
|---|---|
| casual message | Mưa bão quá nên mai mình hoãn họp nhé. |
| workplace email | Do ảnh hưởng của mưa bão, cuộc họp ngày mai sẽ được dời sang thứ Sáu. |
| news lead | Cuộc họp dự kiến diễn ra ngày mai đã bị hoãn do mưa bão. |
| academic paragraph | Việc hoãn cuộc họp cho thấy điều kiện thời tiết có thể làm gián đoạn hoạt động phối hợp. |
| literary sentence | Mưa giăng kín lối; cuộc hẹn ngày mai đành lùi lại. |
An administrative notice would say:
Do ảnh hưởng của mưa bão, cơ quan quyết định hoãn cuộc họp ngày 12 tháng 8; thời gian tổ chức lại sẽ được thông báo sau.
Due to the effects of the storm, the agency has decided to postpone the meeting of August 12; the rescheduled time will be announced later. (formal/administrative)
It names the authority, identifies the affected event, and states what information remains pending.
How wording changes legal interpretation
Bên A: Điều khoản này viết ‘Bên B có thể cung cấp báo cáo trước ngày 30 tháng 9’. Như vậy đó là quyền lựa chọn, đúng không? Bên B: Đúng. Nếu đây là nghĩa vụ bắt buộc, phải viết ‘Bên B phải cung cấp báo cáo chậm nhất vào ngày 30 tháng 9’. Bên A: Vậy ta sửa để thời hạn và mức độ bắt buộc đều rõ.
Party A: This clause says, ‘Party B may provide the report before September 30.’ So that is optional, correct? Party B: Correct. If it is a mandatory obligation, it must say, ‘Party B must provide the report no later than September 30.’ Party A: Then let’s revise it so both the deadline and the mandatory force are clear. (formal contractual discussion)
Changing có thể to phải changes permission or possibility into obligation. Adding chậm nhất vào fixes the deadline’s outer boundary. Register here carries enforceable meaning, not just tone.
Common Mistakes
Translating English legal formulas word for word
❌ Dưới những điều khoản này, bên mua sẽ làm sự thanh toán.
Incorrect calque of ‘under these terms, the buyer shall make payment’; the noun-heavy wording is not natural Vietnamese.
✅ Theo các điều khoản này, bên mua phải thanh toán đúng hạn.
Under these terms, the buyer must pay on time. (formal/contractual)
Theo expresses conformity to the terms, phải marks obligation, and the simple verb thanh toán is clearer than manufacturing a noun phrase.
Leaving chat particles in an institutional notice
❌ Quý khách nộp hồ sơ trước thứ Hai nhé.
Register mismatch: nhé seeks conversational alignment inside an institutional deadline.
✅ Đề nghị quý khách nộp hồ sơ chậm nhất vào thứ Hai.
Customers are requested to submit their applications no later than Monday. (formal notice)
The correction replaces the interpersonal particle with an explicit institutional request and deadline.
Using an impressive connector without its logic
❌ Trời mưa. Căn cứ, cuộc họp bị hoãn.
Incorrect: căn cứ is not a free-standing formal equivalent of ‘therefore.’
✅ Do mưa lớn, cuộc họp bị hoãn; lịch mới sẽ được thông báo sau.
Because of heavy rain, the meeting is postponed; the new schedule will be announced later.
Căn cứ takes a basis such as a law or decision. Do correctly introduces the cause here.
Hiding the responsible actor with excessive được
❌ Khoản phí được thu và sai sót được xử lý.
Too vague for an accountable procedure: who collects the fee and handles errors?
✅ Bộ phận tài chính thu khoản phí; cơ quan tiếp nhận có trách nhiệm xử lý sai sót.
The finance department collects the fee; the receiving authority is responsible for handling errors. (formal/administrative)
Agent backgrounding is useful only when the actor is irrelevant or already fixed. Where accountability matters, explicit roles improve the document.
Key Takeaways
- Administrative and legal style coordinates authority, participant labels, modality, logical linkage, and information density.
- Translate the function of English shall—obligation, right, procedure, or prediction—not the word itself.
- Use stable institutional roles and name actors whenever responsibility matters.
- Dense terminology must still have transparent clause structure; formality is not maximal nominalization.
- Keep chat particles in conversation and official formulas in genres that support them.
